Stock Option Planning
If you're like many executives, stock options represent a significant—perhaps the most significant—asset in your financial portfolio. As a result, maximizing value, reducing related costs such as taxes and brokerage fees, and minimizing overall risk through diversification are critical.

Bader Martin offers consulting with regard to the optimal exercise of statutory and nonqualified stock options, including:

 Scenario modeling and sensitivity analysis to help you reduce taxes and other out-of-pocket costs, while maximizing value and minimizing risk

 Advice regarding Rule 10b5-1 execution plans to provide for the orderly sale of shares within specified parameters and without regard to blackout periods or certain insider trading rules

 Tax planning, including alternative minimum tax (AMT) analysis, basis calculations, tax loss harvesting and Section 83(b) elections

 Disaster planning in the event of declining stock values

 Negotiations with regard to tax-favored terms for the option plan

For example, when the stock price crashed for a Seattle-based technology company, senior executives faced multi-million dollar personal tax liabilities for stock then worth considerably less. Because we routinely keep in touch with our clients throughout the year, we were able to take action before year-end to save one company executive (our client) millions of dollars in taxes. By executing a disqualifying disposition before the end of the year, we reduced a potential $3,000,000 tax liability—for stock then worth only $100,000—to just $35,000. 

For other clients, we have been able to negotiate favorable terms in company options plans, such as the right to use appreciated stock to purchase additional stock. As a result, our clients have been able to exercise their options using company stock with no out-of-pocket cost and without triggering a taxable gain. If they had been required to sell the existing stock in order to purchase additional shares, which is the more common case, they would have incurred transaction costs and a considerable taxable gain.
